1. Overview

All use of the website, information, services, and content distributed through or in conjunction with or made available on the website is offered to you subject to your acceptance of these terms, but also our Cookie Statement, Data Protection Addendum, and Privacy Policy.

The following terms and conditions incorporate a legal agreement between you and Ipregistry and set forth the terms and conditions by which Ipregistry makes the "Ipregistry Data & Services" available to you.

Ipregistry Data & Services

For the purposes of this Agreement, "Ipregistry Data & Services" shall consist of:

• all data and information feeds, media, software, and/or electronic documentation made available or supplied by Ipregistry or its licensees and
• certain other software, data, datasets, and/or documents supplied by Ipregistry or its licensees to facilitate the use of such data or services. "Ipregistry API" means Ipregistry's service or application programming interface that allows you and other authorized licensees to access Ipregistry API Data & Services and make use of Ipregistry API Services. This Agreement includes or references all amendments, addendums, and revisions to the terms herein in effect between you and Ipregistry from time to time.

Acknowledgment

By accessing or otherwise using the Ipregistry Data & Services, you acknowledge that you:

• have read all of the terms and conditions of this Agreement (this includes the Cookie Statement, Data Protection Addendum, and Privacy Policy);
• agree to be bound by the terms and conditions of this Agreement;
• in case you joined or want to join our affiliate program:
  • have read all of the affiliate program terms and conditions;
  • agree to be bound by the terms and conditions of the affiliate program.
• have the power and authority to enter into this Agreement. If you do not acknowledge the above, you may not access or use the Ipregistry Data & Services or its affiliate program. If you are dissatisfied with the terms, conditions, rules, policies, guidelines, or practices of Ipregistry, your sole and exclusive remedy is to discontinue accessing or otherwise using the Ipregistry Data & Services and its affiliate program.

2. Scope of License

Ipregistry grants you a personal, non-transferable, non-exclusive, revocable, and limited license for the term of this Agreement to access and utilize Ipregistry Data & Services strictly for the limited purposes and subject to the terms and conditions outlined in this Agreement.

Access to and utilization of Ipregistry Data & Services are exclusively limited to internal restricted business purposes, including but not limited to content localization, fraud detection and prevention, geographic reporting, network performance enhancement, and other similar purposes, with no redistribution permitted, unless explicitly authorized in writing by Ipregistry.

When using a free version of the Services, this license is strictly limited to your personal, non-commercial use, in the manner permitted by these Terms. When using a paid version for the Services, this license is extended to include your commercial use, subject to these Terms.

3. Use of License

Restrictions

You shall not (and you shall not permit anyone else to):

• reproduce, copy, modify, distribute, market, display, transfer, sublicense, assign, prepare derivative work(s) or adaptation(s) based on, sell, exchange, barter or transfer, rent, lease, loan, time-share, resell, or in any other manner exploit Ipregistry Data & Services, unless you have been specifically told that you may do so by Ipregistry, in writing;
• make access to Ipregistry Data & Services available to unauthorized parties, or otherwise post or distribute Ipregistry Data & Services in any public forum including, but not limited to, print, newsletters, radio, television, or internet;
• remove, obscure, or alter any required notice or any notice of Ipregistry's intellectual property rights present on or in the Ipregistry Data & Services, including, but not limited to, copyright, trademark, and/or patent notices;
• disassemble, translate, reverse engineer or otherwise decompile Ipregistry Data & Services.
• knowingly cause or permit anything that will impair, jeopardize, violate, or infringe the intellectual property rights of Ipregistry in Ipregistry Data & Services;
• directly or indirectly dispute or contest the ownership, validity, or enforceability of the intellectual property rights of Ipregistry in Ipregistry Data & Services, or assist any party to do so;
• through your use of Ipregistry Data & Services, knowingly cause or permit anything that you know or ought to know will prejudice or hamper the reputation or goodwill of Ipregistry;
• claim, use, or apply to register, record, or file any trade mark, trade name, copyright, or design that is identical or confusingly similar to Ipregistry's trademarks, or assist any other party to do so;
• use, store, or access any Ipregistry Data & Services, after the termination of this Agreement;
• use or permit others to use, market, distribute, or export Ipregistry Data & Services,
• engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services).
• access the Services in a manner intended to avoid incurring fees or exceeding usage limits.
• access the Services for the purpose of bringing an intellectual property infringement claim against Ipregistry or for the purpose of creating a product or service competitive with the Services.
• use any robot, spider, site search/retrieval application or other manual or automatic program or device to retrieve, index, "scrape", "data mine" or in any way gather Content from the Services
• use the Services to assemble email lists for the purposes of sending out mass emails or "spam."
• access the Services for the purpose of collecting Content for sale or resale without the express written consent of Ipregistry.
• use Ipregistry Data & Services in any manner or for any purpose that violates any law, regulation, or right of any person.

Attribution

While usage of the Ipregistry Data & Services is not subject to your end users being made aware by you that Ipregistry is supplying the functionality you are making use of in your application(s), your inclusion of a clickable hyperlink to the Ipregistry website (https://ipregistry.co) would be highly appreciated.

Your Responsibility to Safeguard

You shall use your best efforts and take all necessary steps to safeguard Ipregistry Data & Services to ensure that no unauthorized reproduction, publication, disclosure, modification, distribution, or other use of any Ipregistry Data & Services is made in whole or in part. To the extent that you become aware of any such unauthorized use of Ipregistry Data & Services, you shall immediately notify Ipregistry.

Misuse of the Licensed Product

In the event that you or any end users use Ipregistry Data & Services in violation of this Agreement, as applicable, Ipregistry shall have the option of electing liquidated damages.

4. Services and Data

Account Terms

• You may not use the service unless you are over the age of 13.
• You must be a human. Accounts created by automated methods are not permitted and will be removed.
• You must provide accurate and complete registration information any time you register to use the Service.
• You must sign up with your real company or personal email. Signups from disposable email addresses, shared mailboxes or any other fraudulent signups will be deleted.
• You are limited to creating one account per individual. If we detect multiple accounts associated with the same user, we reserve the right to return random data on the affected accounts, suspend, or take other appropriate action.

API usage

Subject to the terms herein, Ipregistry will provide you with access to Ipregistry API Data & Services over the Internet through the Ipregistry API. All production calls to the Ipregistry API must reference the credentials issued to you by Ipregistry. You may not disclose your credentials to any other party. You are solely responsible for ensuring the secrecy and security of your credentials and will be responsible for all activities that occur using such credentials.

Payment and billing

You can use the Ipregistry Service with one-time packs of credits, with a subscription plan or with an Enterprise subscription, and you can hold packs and a subscription at the same time. Our datasets are available through dataset subscriptions.

Pay-as-you-go (packs of credits)

• With packs, you pay in advance for a number of credits. While your credit balance is positive, your license to use the Service remains valid.
• Credits do not expire and remain available for the lifespan of the service.
• There is no monthly fee and no commitment. You can stop paying at any time, your account will simply be disabled when you run out of credits.
• You get 20,000 credits for testing purposes upon the creation of your first account. These credits are free of charge and act as a free trial period.
• Credits you buy are non-refundable. In order to treat everyone equally, no exceptions will be made.
• You will never be charged automatically unless you explicitly allowed us to (e.g. with the automatic renewal feature you can optionally enable).

Subscription plans

• A subscription plan gives you an allowance of credits every month, at the price shown when you subscribe. You choose to pay monthly or yearly.
• Your subscription renews automatically at the end of each period, for the same period (a month or a year), and is charged to the payment method on your account until you cancel it. By subscribing, you accept this automatic renewal.
• The allowance is renewed every month, yearly plans included. Plan credits you do not use in a month do not carry over to the next one. Credits from packs are kept apart and never expire.
• If a renewal is not paid, the allowance is not renewed until the payment goes through.
• You can change or cancel your plan at any time from the dashboard.
• An upgrade, to a higher plan or from monthly to yearly payment, takes effect immediately. You are charged at once for the difference, prorated over the rest of the current period. A higher plan adds the difference between the two allowances to your balance right away; credits already used in the period stay used. Moving to yearly payment starts a new period with a full allowance.
• A downgrade, to a lower plan or from yearly to monthly payment, takes effect at the end of the period already paid. Until then you keep your current plan and its allowance, and nothing is refunded. You can undo a scheduled downgrade before it takes effect.
• Additional API keys follow the same rules: keys you add are charged at once, prorated, and keys you remove stop at the end of the period already paid.
• A cancellation takes effect at the end of the period already paid. Your plan and its allowance remain until then, and nothing is refunded.

Dataset subscriptions

• You can subscribe to any of our datasets from the dashboard, at the price shown when you subscribe, and download its updates for as long as the subscription runs.
• A dataset subscription renews automatically at the end of each period, for the same period, and is charged to the payment method on your account until you cancel it. By subscribing, you accept this automatic renewal.
• You can cancel it at any time from the dashboard. The cancellation takes effect at the end of the period already paid, and nothing is refunded.
• A dataset subscription grants a license for your private, internal use only. Redistributing the data, or any product derived from it, to your customers or to other third parties requires a separate redistribution license, which is part of an Enterprise subscription.

Enterprise subscriptions

Enterprise subscriptions are set up with our sales team, on terms we define together with you: a committed monthly allowance of credits, a license to redistribute our API data or datasets, or both, at a monthly or yearly price. By default, requests beyond the allowance are refused until it is renewed. If overage is enabled for your account, with your agreement, they are served instead and billed at the agreed rate, at the end of each billing period set in your agreement. Enterprise subscriptions can be paid by invoice. They renew automatically like subscription plans, unless the agreement with you says otherwise.

You can stop your subscription at any time from the dashboard. To stop an Enterprise subscription, write to [email protected]. Its cancellation completes at the end of your current cycle. All paid subscriptions are non-refundable, except for the LIR services, which follow the refund rules of the Internet number resources section below. In order to treat everyone equally, no exceptions will be made.

We reserve the right to change prices with a 30-day notice, provided via our website or email. Continued use after this notice means you accept the new prices. If you disagree, you can stop using our Service and request your account deletion.

Internet Number Resources (LIR Services)

Through Ipregistry, Elaunira SARL, a member of the RIPE NCC acting as a Local Internet Registry (LIR), registers, sponsors and leases Internet number resources such as AS numbers and IP address blocks ("LIR Services"). Each resource is governed by the agreement signed for it (for example the sponsorship agreement) and by the policies of the RIPE NCC. These terms govern ordering, paying for and renewing LIR Services online. Where they differ from the signed agreement, the agreement prevails.

Ordering and payment

• A request is made from your Ipregistry account. The first year is paid when the request is submitted, before the verification starts.
• Each LIR Service is a subscription that renews automatically at the end of each period, for the same period as the one first subscribed (for example every year for a sponsored AS number, or every month for a monthly lease), at the price in force. The renewal is charged automatically to the payment method on your account. By paying for a LIR Service, you accept this automatic renewal.
• You can stop the renewal at any time from your account or by writing to [email protected]. It takes effect at the end of the period already paid, when the resource is returned or, for a sponsored resource, moved to another sponsoring LIR.
• An unpaid renewal can lead to the suspension of the resource, then to its return to the RIPE NCC as the agreement provides.
• A first-year discount may apply to the first resource of an account or of a holder, as shown before payment.

Verification

The RIPE NCC requires every LIR to verify the holder of each resource. Once a request is paid, the person who signs the agreement verifies their identity online, and the documents listed in the request must be provided within 10 days. A copy of the signer's identity document and selfie is kept with the documents of the request, as our Privacy Policy describes. A request whose documents are not provided in time is closed. We may refuse a request that does not meet the RIPE NCC policies or our acceptable use rules.

Refunds

Part of the first payment covers the verification and the review of the request (the "non-refundable part", for example €20 for an AS number). When a request does not end with a resource:

• If the RIPE NCC refuses it, or we cannot accept it after the review, you are refunded the payment minus the non-refundable part.
• If we cannot deliver the resource for a reason of our own, you are refunded in full.
• If the documents are not provided within 10 days, if you cancel the request outside the withdrawal period described below, or in case of fraud, nothing is refunded.
• If the holder or the signer matches a sanctions list, we cannot provide the service, and the funds may be withheld as the law requires.

Renewals already paid are not refunded when a resource is returned before the end of its yearly term.

Right of withdrawal for consumers

If you order as a consumer (a natural person acting outside any business), you may withdraw from a LIR Service within 14 days of the payment, without giving a reason, by closing the request from your account or by writing to [email protected]. Because we start working as soon as the request is paid, you are asked before payment to request this expressly. If you withdraw during the 14 days, you are refunded the payment minus the non-refundable part, which pays for the work already done. You lose your right of withdrawal once the resource is delivered.

Sanctions screening

We check the holder and the signer of every request against the official sanctions lists of the European Union, France and the United Nations, and may refuse or end a LIR Service to comply with them.

Publication in the RIPE Database

The RIPE NCC policies require information about the holder of a resource, such as its name, address and contact email addresses, to be published in the public RIPE Database. Requesting a resource means accepting this publication.

Responsibility for Software and Hardware

You shall be solely responsible for acquiring, providing, and maintaining all software/hardware and Internet Services required to access the Ipregistry Data & Services, including but not limited to telecommunication and internet connections, ISP, web browsers, and/or other equipment and software required to access and use the Ipregistry Data & Services.

Services May Be Inaccessible Or Inoperable

You hereby acknowledge that from time to time, the Ipregistry API may be inaccessible or inoperable for any reason, including, without limitation:

• equipment (hardware) malfunctions;
• software malfunctions;
• periodic maintenance procedures or repairs which Ipregistry may undertake from time to time;
• causes beyond the reasonable control of Ipregistry and/or not reasonably foreseeable by Ipregistry.

Third-Party Content

Ipregistry Data & Services may include references or hyperlinks to other web sites or content or resources or email content. Ipregistry has no control over any web sites, or resources which are provided by companies or persons other than Ipregistry.

You acknowledge and agree that Ipregistry is not responsible for the availability of any such external sites or resources, and does not endorse any advertising, products or other materials on or available from such web sites or resources.

You acknowledge and agree that Ipregistry is not liable for any loss or damage which may be incurred by you or other users as a result of the availability of those external sites or resources, or as a result of any reliance placed by you on the completeness, accuracy or existence of any advertising, products or other materials on, or available from, such web sites or resources.

Right to Change Content or Format

You acknowledge that Ipregistry may from time to time, and in its sole discretion, update or change the content or format of Ipregistry Data or the Ipregistry API. Ipregistry shall strive to provide reasonable advance notification of such changes; however, from time to time sudden changes may be required, and since Ipregistry strives to accurately reflect these and adjust to these changes, significant advance notice is not always possible. You may be required to use the most recent version of the Ipregistry API in order to ensure functionality of your application(s) with Ipregistry API Data & Services.

5. Proprietary Rights

Trademarks

"Ipregistry", "ipregistry.co", the Ipregistry logo, and other identifying marks of Ipregistry are and shall remain the trademarks and trade names and exclusive property of Ipregistry, and any unauthorized use of these marks is unlawful. Other trademarks on the Services are the property of their respective owners.

Licensed, Not Sold

Use of Ipregistry API Data & Services and the Ipregistry API is licensed, and not sold.

Consent to Collection, Use, Retention, and Disclosure of Information

In the course of providing the Ipregistry API, Ipregistry collects information, including standard information of the type normally exchanged when accessing any web site or web service. This information pertains only to the access of the Ipregistry Data & Services and is no different in nature from the information available to any Internet web server during the course of fulfilling a standard web request. Please read Ipregistry's Privacy Policy. By agreeing to the terms of this Agreement, you are expressly consenting to Ipregistry's collection, use, retention, and disclosure of information as set out in its Privacy Policy.

No Granting of Ownership Rights

You acknowledge that Ipregistry owns all right, title, and interest (including but not limited to all copyright rights therein) in and to the Ipregistry Data & Services, and that you shall not take any action inconsistent with such ownership. Nothing contained in this Agreement shall be construed as granting you or any end users any ownership rights in or to any Ipregistry Data & Services.

Ipregistry's Right to Terminate

Ipregistry reserves the right at any time to terminate this Agreement, or withdraw from distributing or providing access to Ipregistry Data & Services, if for any reason it no longer retains the right to publish or distribute the Ipregistry Data & Services.

6. Disclaimer

Provided in Good Faith

The Ipregistry Data & Services are provided by Ipregistry in good faith and although Ipregistry endeavours to ensure that Ipregistry Data & Services are accurate and obtained from sources believed to be reliable, Ipregistry does not guarantee or warrant:

• the accuracy, authenticity, timeliness, reliability, appropriateness, correct sequencing, or completeness of Ipregistry Data & Services;
• that Ipregistry Data & Services are free from errors or other material defects.

Disclaimer

The Ipregistry Data & Services are provided "as is" and "as available", without any warranty of any kind and Ipregistry, its affiliates, agents and/or suppliers, officers, directors, and employees expressly disclaim any and all warranties, whether expressed or implied, including without limitation the warranties of merchantability, fitness for a particular purpose, and non-infringement of the rights of third parties. In no event shall Ipregistry be liable for indirect, special, punitive, or consequential damages including, but not limited to, lost profits, lost data, or otherwise. In no event shall Ipregistry, any of its affiliates, or any of their data providers involved in supplying, developing, operating, or managing the Ipregistry Data & Services, be liable for indirect, special, punitive, or consequential damages including, but not limited to, lost profits, lost data, or otherwise. In the event the limitations and disclaimers contained in this Article are found by a court of competent jurisdiction to be ineffective or inapplicable, the parties agree that Ipregistry's maximum aggregate liability to you and all end users, whether arising in contract, tort, strict liability, or otherwise, shall be limited, and in no event shall it exceed, the number of fees paid by you for the current term.

You acknowledge that Ipregistry is not, and is not affiliated with, a financial institution or financial data feed provider, but obtains its financial data from a variety of sources. You further acknowledge that financial data often differ between financial institutions and between geographic jurisdictions and accordingly may vary from that provided by Ipregistry pursuant to this agreement. Although Ipregistry has used its commercially reasonable efforts to obtain the most accurate and timely financial data available from the aforementioned sources, Ipregistry makes no representations or warranties as to accuracy, authenticity, timeliness, reliability, appropriateness, correct sequencing, or completeness of the Ipregistry Data & Services. You acknowledge that no part of Ipregistry Data & Services constitutes advice regarding financial, investment, legal, or tax issues, and that you and all end users should seek independent professional advice before making any decisions regarding such issues.

Ipregistry does not represent or warrant that the Ipregistry Data & Services, or access to Ipregistry Data & Services, will be uninterrupted or error-free or that errors in the Ipregistry Data & Services will be corrected.

In no event shall Ipregistry, any of its affiliates, or any of their data providers involved in supplying, developing, operating, or managing the Ipregistry Data & Service be liable to you or to any end users in any manner whatsoever for any interruptions, delays, the unavailability or inoperability, inaccuracies, errors, or omissions, regardless of cause, in the Ipregistry Data & Services or for any losses, damages, liabilities or expenses resulting therefrom regardless of cause, even if Ipregistry knew or should have known of the possibility of or could have prevented such damages.

Indemnification

You shall indemnify, defend, and save harmless Ipregistry, its affiliates and subsidiaries, and their officers, directors, employees and agents from any loss, damage, liability or expense (including reasonable attorneys' fees, accountants’ fees and other legal expenses) to which any of them may become subject to and which are in any way related to or which have arisen under or in connection with:

• any act or omission by you or any person connected, affiliated, or associated with you with respect to this Agreement and/or the Ipregistry Data & Services; and/or,
• any non-fulfillment or breach of any covenant or agreement on your part pursuant to this Agreement or any incorrectness in or breach of any representation or warranty made by you contained in this Agreement.

7. General

These Terms of Service incorporate by reference all notices and disclaimers contained in the Services constitute the entire agreement between you and Ipregistry with respect to access to, and use of, the Services. Except as specifically set forth herein, these Terms of Service supersede any prior agreements, including prior oral and/or written statements or representations not contained herein, between you and Ipregistry relating to the Services. This agreement is not intended to create a partnership, joint venture, or agency relationship between you and Ipregistry.

If any provision of these Terms of Service is invalid, illegal or unenforceable in any respect under any applicable statute or rule of law, the provision shall be deemed omitted to the extent that it is invalid, illegal or unenforceable. In such a case, the remaining provisions of these Terms of Service shall be construed in a manner as to give the greatest effect to the original intention of the parties hereto. Ipregistry's failure to insist upon, or enforce, strict performance of any right or provision of these Terms of Service shall not constitute or be construed or deemed to be a waiver of such right or provision in the future or a waiver of any other right or provision under these Terms of Service.

You agree that these Terms of Service, Ipregistry's Privacy Policy and other legal documents posted through the Services have been drawn up in English. Although translations in other languages of any of the foregoing documents may be available, such translations may not be up to date or complete. Accordingly, you agree that in the event of any conflict between the English language version of the foregoing documents and any other translations thereto, the English language version of such documents shall govern.

If you are a consumer, please note that these Terms of Service, its subject matter and its formation, are governed by French law. You and we both agree that the courts of France will have non-exclusive jurisdiction. If you are a business, these Terms of Service, its subject matter and its formation (and any non-contractual disputes or claims) are governed by French law. We both agree to the exclusive jurisdiction of the courts of France, in the French language.
